Terms of Service
Last updated: 2026-08-08
1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Maestrio platform, including the web application available at https://app.maestrio.ai, the widget SDK, the Maestrio MCP server, and any related services (collectively, the "Service") provided by SEM NEURA TECNOLOGIA DA INFORMACAO LTDA ("Maestrio," "we," "our," or "us").
By creating an account, installing the widget SDK, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are accepting on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" refer to that entity.
Maestrio is a business-to-business (B2B) service intended for use by software development teams and companies. The Service is intended for business use by software development teams. Individual users should ensure the Service meets their needs before signing up.
If you do not agree to these Terms, do not access or use the Service.
2. Definitions
The following terms have the meanings set out below throughout these Terms:
- Account
- The registered user account through which you access the Service, identified by an email address and secured by authentication credentials.
- Customer
- The company or individual who has created an Account and accepted these Terms, and on whose behalf the Service is used.
- End User
- A person who interacts with the Maestrio widget SDK embedded in the Customer's own web application. End Users are the Customer's users, not Maestrio's customers, and Maestrio processes their data on the Customer's behalf.
- Service
- The Maestrio platform and all associated components: the dashboard web application, the widget SDK (JavaScript embed), the AI triage and coding agents, the GitHub integration, the MCP server, and any APIs or documentation provided by Maestrio.
- API Key
- A secret credential generated by Maestrio that authenticates requests from the Customer's widget SDK or external integrations to the Maestrio backend.
- Organization
- A workspace within Maestrio associated with a Customer's team or company, under which Projects, team members, and billing are managed.
- Project
- A named unit within an Organization that corresponds to one Customer web application, linked to a GitHub repository, and associated with a widget SDK deployment.
- Agent Run
- A single execution of Maestrio's AI coding agent to analyze a piece of feedback and, where appropriate, produce a GitHub pull request or branch. Each Agent Run consumes one unit of the Customer's monthly allocation.
- Content
- All data, text, code, files, feedback submissions, repository contents, and other information submitted to or processed through the Service by the Customer or End Users.
- Feedback
- Suggestions, ideas, feature requests, bug reports, enhancement proposals, or other feedback about the Service that you provide to Maestrio (as distinct from Content you submit for processing).
3. The Service
Maestrio provides a B2B AI coding-agent platform that enables software development teams to automatically triage, deduplicate, and act on user feedback. The Service operates as follows:
- Widget SDK: Customers embed a JavaScript widget in their web applications. End Users submit bugs, feature requests, and other feedback through this widget.
- AI Triage Agent: Incoming feedback is automatically triaged and deduplicated by Maestrio's AI triage agent, powered by large language models provided by Anthropic and OpenRouter.
- AI Coding Agent: When actionable, Maestrio's coding agent reads the linked GitHub repository and generates a pull request proposing a resolution.
- GitHub Integration: Customers authorize Maestrio's GitHub App to access specific repositories. Maestrio reads repository content and writes branches and pull requests on the Customer's behalf.
- MCP Server: Maestrio exposes an MCP (Model Context Protocol) server for advanced integrations with AI development tools.
- Dashboard: Customers manage Projects, Organizations, API keys, team members, and billing through the Maestrio dashboard at https://app.maestrio.ai.
The Service is provided "as is" and is subject to the Warranty Disclaimer in Section 12. Maestrio reserves the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.
The Service relies on third-party AI model providers. The performance and availability of AI capabilities depend in part on those providers and their policies, which are outside Maestrio's direct control.
4. Account Registration & Organizations
4.1 Registration
To use the Service, you must create an Account. You agree to provide accurate, current, and complete information and to keep that information up to date. You must be at least 18 years old to create an Account.
4.2 Organizations
Upon registration, you will create or join an Organization. You may invite other team members to your Organization. The person who creates an Organization (the "Owner") is responsible for administering it, including managing member access and billing.
4.3 Account Security
You are responsible for maintaining the confidentiality of your authentication credentials, including any API Keys. You must immediately notify Maestrio at [email protected] if you become aware of any unauthorized access to your Account. Maestrio is not liable for losses resulting from unauthorized access caused by your failure to secure your credentials.
4.4 One Account per Person
Individual accounts may not be shared. If you represent a team, each person should have their own Account within your Organization.
5. Acceptable Use
Your use of the Service is subject to Maestrio's Acceptable Use Policy, available at /legal/acceptable-use, which is incorporated into these Terms by reference.
Without limiting the Acceptable Use Policy, you agree not to:
- Use the Service to process or submit illegal content, including content that violates privacy laws, intellectual property rights, or export control regulations.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service or its AI models.
- Circumvent, disable, or interfere with any security, rate-limiting, or access-control mechanisms of the Service.
- Use the Service to generate, distribute, or assist in creating malware, exploits, or other malicious code.
- Resell, sublicense, or offer the Service as a standalone product to third parties without Maestrio's written consent.
- Submit the personal data of End Users to the Service unless you have a lawful basis for processing that data and have executed Maestrio's Data Processing Addendum (DPA).
Maestrio reserves the right to investigate suspected violations and to suspend or terminate access to the Service if violations are found.
6. Customer Content & Intellectual Property
6.1 Customer Ownership
You retain all right, title, and interest in and to all Content you submit to the Service, including your source code, repository contents, feedback data, and any other materials.
6.2 License to Maestrio
You grant Maestrio a limited, non-exclusive, non-sublicensable, royalty-free license to use, copy, process, transmit, and display your Content solely to the extent necessary to provide and operate the Service for you. This license terminates when you delete the relevant Content or close your Account (subject to the data retention period in Section 11).
6.3 Ownership of AI-Generated Output
All AI-generated output produced by Maestrio's agents on your behalf — including pull requests, code changes, branch content, and commit messages — belongs to you. Maestrio hereby assigns to you all right, title, and interest (including all intellectual property rights) in and to any such output, to the fullest extent permitted by law. Note: The copyrightability of AI-generated code and content is an unsettled area of law. Maestrio makes no warranty that AI-generated output will be protectable as intellectual property under applicable copyright law. Maestrio retains no ownership interest in code or pull requests generated for your repositories.
6.4 Responsibility for Content
You are solely responsible for ensuring you have the rights to submit all Content to the Service, and that such submission does not violate any third-party intellectual property rights, confidentiality obligations, or applicable law.
7. AI Training Prohibition
MAESTRIO DOES NOT USE YOUR CODE, REPOSITORY CONTENTS, FEEDBACK DATA, OR END-USER DATA TO TRAIN, FINE-TUNE, OR OTHERWISE IMPROVE ANY AI OR MACHINE LEARNING MODEL. FOR AI PROVIDERS THAT ROUTE REQUESTS THROUGH MULTIPLE UNDERLYING MODELS (SUCH AS OPENROUTER), THIS COMMITMENT APPLIES TO THE EXTENT GUARANTEED BY EACH ROUTED PROVIDER’S TERMS.
Our primary AI model providers — including Anthropic — are subject to contractual commitments that prohibit using Customer data to train or improve their foundation models. Because OpenRouter routes requests through multiple underlying model providers, the no-training commitment applies to the extent permitted by the terms governing each routed provider. Maestrio selects providers whose data-use terms are consistent with this prohibition and will notify you of any material change.
Any future opt-in AI training program will require your explicit written consent. No Content will be used for AI training purposes without your affirmative opt-in.
Maestrio may use aggregated, de-identified usage telemetry (such as agent run counts, latency metrics, and error rates — never your code or feedback content) to monitor and improve the reliability and performance of the Service infrastructure.
8. Data Processing
8.1 Account-Holder Data
For personal data you provide when creating and managing your Account (name, email address, payment details, and similar information), Maestrio acts as the Data Controller. This data is processed in accordance with our Privacy Policy.
8.2 End-User Data
For personal data submitted by your End Users through the widget SDK (such as names, email addresses, or any other personal information they include in their feedback), Maestrio acts as a Data Processor on your behalf. You are the Data Controller for such data and are responsible for ensuring you have a lawful basis to collect and process it, and to transfer it to Maestrio.
8.3 Data Processing Addendum
If your use of the Service involves transmitting personal data of your End Users to Maestrio, you must accept Maestrio's Data Processing Addendum (DPA) (which is accepted by checkbox at account registration or, for an existing Account, by first using the Service to transmit End-User personal data; no separate signature is required), available at /legal/dpa. The DPA forms part of these Terms and governs the processing of End-User personal data. Using the Service to process End-User personal data without accepting the DPA is a material breach of these Terms.
8.4 Privacy Policy
Please review our Privacy Policy for a full description of how Maestrio collects, uses, and protects personal data.
9. GitHub Integration
To enable the AI coding agent, you must install the Maestrio GitHub App on your GitHub account or organization and authorize access to one or more repositories. By doing so, you grant Maestrio the permissions described during the GitHub App installation flow, which include:
- Read access to repository contents, issues, and metadata, to allow the coding agent to understand your codebase and generate relevant pull requests.
- Write access to create branches and pull requests in your repositories, on your explicit authorization.
Maestrio will only access repositories you have explicitly authorized through the GitHub App installation. You may revoke this access at any time through your GitHub settings or the Maestrio dashboard.
You are responsible for ensuring that your use of the GitHub integration complies with GitHub's Terms of Service and any applicable agreements governing your repositories. Maestrio does not review the contents of your repositories for legal compliance.
All pull requests and branches created by Maestrio's agents are created on your behalf and under your GitHub account's identity (or the Maestrio GitHub App's identity, as configured). You bear responsibility for any code that is merged from Maestrio-generated pull requests into your repositories.
10. Subscriptions & Billing
10.1 Plans
Maestrio may offer free and paid plans. The number of Agent Runs, features, price, billing cycle, and other limits for your account are the limits shown in the Service or agreed in the applicable order form, subscription confirmation, or other written commercial agreement (the “Plan Terms”). Plan Terms may differ between customers and may change only as permitted by those Plan Terms.
The Service displays your current usage and applicable limit. If no customer-specific Plan Terms apply, Maestrio may apply the default limit associated with the plan shown in your account. Paid plan availability, pricing, and features are subject to the notice requirements in the applicable Plan Terms.
Unless different Plan Terms are implemented for your account, Agent Run allocations use UTC calendar months and reset at 00:00 UTC on the first day of each month. Unused Agent Runs do not roll over. Maestrio enforces the applicable limit when a new request is submitted; work already accepted before the limit was reached may continue. New requests will not be accepted until the next allocation period or until your limit changes under the applicable Plan Terms.
10.2 Payment
When paid plans become available, billing will be processed through Stripe. By subscribing to a paid plan, you authorize Maestrio (via Stripe) to charge your payment method on a recurring monthly basis on your subscription anniversary date. You are responsible for providing a valid payment method and keeping it current.
AUTO-RENEWAL NOTICE: Paid subscriptions (when available) will automatically renew each month. You will be charged the then-current subscription fee unless you cancel before your renewal date. Cancellation is available by contacting Maestrio support at [email protected].
10.3 Auto-Renewal
When paid subscriptions become available: Subscriptions automatically renew each month unless cancelled before the renewal date. You may cancel your subscription at any time by contacting Maestrio support at [email protected]. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until the end of the period for which you have already paid.
10.4 No Refunds
If and when paid plans are activated, payments will be non-refundable. Once a billing period has started, no refunds or credits will be issued for unused Agent Runs, partial months, or early cancellation, except as required by applicable law.
10.5 Price Changes
Maestrio may change subscription prices at any time with at least 30 days' advance notice, delivered by email to your registered address. Price changes take effect at your next renewal date following the notice period. Continued use of the Service after a price change takes effect constitutes your acceptance of the new price. Price-change and Terms-change notifications are transactional communications and will be sent to your registered email address regardless of any marketing email opt-out preferences.
11. Termination
11.1 Termination by You
You may terminate your Account at any time by contacting Maestrio support at [email protected]. Self-service account deletion is not currently available in the dashboard. Termination of your Account cancels any active subscription as of the end of the current billing period.
11.2 Termination or Suspension by Maestrio
Maestrio may suspend or terminate your access to the Service immediately, without prior notice, if:
- You materially breach these Terms and fail to cure the breach within 10 days of written notice;
- You fail to pay any amounts due and do not cure the non-payment within 10 days of notice;
- Your use of the Service poses an imminent security risk or harm to Maestrio, other customers, or third parties; or
- Required by applicable law or regulatory authority.
Maestrio may also terminate the Service generally upon 30 days' notice to all customers.
11.3 Effect of Termination
Upon termination, your right to access the Service ceases immediately. Maestrio will retain your Content for 90 days following the effective date of termination (the "Retention Period"). You may contact Maestrio support to request assistance with retrieving your data during this period; note that self-service data export is not currently available. After the Retention Period, Maestrio will permanently delete your Content from its systems, except to the extent retention is required by applicable law.
12. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAESTRIO EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
MAESTRIO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. MAESTRIO MAKES NO REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED OUTPUT, INCLUDING PULL REQUESTS AND CODE CHANGES PRODUCED BY MAESTRIO'S AGENTS.
AI-generated output is not professional advice (legal, financial, security, or otherwise) and should be reviewed by qualified personnel before being merged or relied upon. You bear full responsibility for any code merged into your repositories from Maestrio-generated pull requests, including any resulting bugs, security vulnerabilities, or data loss.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAESTRIO OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, LOSS OF DATA, COST OF SUBSTITUTE SERVICES, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF MAESTRIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
MAESTRIO'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO MAESTRIO IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100).
The foregoing limitations do not apply to liability arising from:
- A party's material breach of its confidentiality obligations under Section 15;
- Either party's indemnification obligations under Section 14, provided that Maestrio's IP indemnification obligation under Section 14.2 shall not exceed two times (2×) the total fees paid by Customer in the twelve (12) months preceding the claim;
- Gross negligence, willful misconduct, or fraud by Maestrio; or
- Death or personal injury caused by Maestrio's negligence, to the extent applicable law prohibits limitation of such liability.
- Liability arising under data protection law to data subjects who cannot be contractually limited (including GDPR Article 82 obligations to data subjects where applicable).
14. Indemnification
14.1 Customer Indemnification
You agree to defend, indemnify, and hold harmless Maestrio and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your Content or your End Users' Content, including any claim that your Content infringes a third party's intellectual property rights;
- Your End Users' personal data, including any claim arising from your failure to obtain appropriate consents or to comply with applicable data protection law;
- Your violation of these Terms or of any applicable law or regulation; or
- Your violation of any third party's rights.
14.2 Maestrio Indemnification
Maestrio agrees to defend, indemnify, and hold harmless you and your officers, directors, employees, and agents from and against any third-party claims alleging that the Service itself (excluding AI-generated output and your Content) infringes any third party's intellectual property rights, provided that you promptly notify Maestrio of the claim, grant Maestrio sole control of the defence and settlement, and provide reasonable cooperation.
Maestrio's indemnification obligation does not apply to claims arising from: modifications to the Service made by you or a third party; combination of the Service with products or services not provided by Maestrio; your Content; or your violation of these Terms.
15. Confidentiality
15.1 Mutual Confidentiality
Each party ("Receiving Party") agrees to keep confidential and not to disclose or use for any purpose other than the performance of these Terms any non-public information of the other party ("Disclosing Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Each party agrees to use the same degree of care it uses to protect its own confidential information, but no less than reasonable care.
Confidential Information does not include information that: (a) is or becomes publicly known without breach of any obligation owed to the Disclosing Party; (b) was rightfully known before disclosure; (c) is rightfully received from a third party without restriction; or (d) is required to be disclosed by law or court order, provided the Receiving Party gives prompt written notice and cooperates with the Disclosing Party's efforts to seek a protective order.
15.2 Feedback License
If you provide Maestrio with suggestions, ideas, enhancement requests, or other feedback about the Service ("Feedback", as defined in Section 2), you grant Maestrio a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use, reproduce, modify, and incorporate that Feedback into the Service or any other Maestrio product, without any obligation of attribution, compensation, or confidentiality to you. Feedback does not constitute your Confidential Information.
16. Dispute Resolution
16.1 Informal Resolution
Before initiating any formal dispute resolution, the parties agree to attempt in good faith to resolve any dispute informally by contacting [email protected] and allowing 30 days for the parties to negotiate a resolution.
16.2 Governing Law & Venue
These Terms are governed by the laws of Brazil. If a dispute is not resolved through the informal process above, the parties agree to the jurisdiction and venue of the courts located in Belo Horizonte, Minas Gerais, Brazil, except where applicable law requires a different forum or does not permit the parties to choose a forum.
17. Changes to Terms
Maestrio may update these Terms from time to time. When we make material changes, we will notify you by email to your registered address at least 30 days before the changes take effect (or a shorter period if required by law). We will also update the "Last updated" date at the top of this page.
Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service before the effective date and may terminate your Account.
For non-material changes (such as corrections of typographical errors or clarifications that do not affect your rights), we may post the updated Terms without advance notice.
18. General
18.1 Entire Agreement
These Terms, together with the Privacy Policy, any applicable DPA, the Acceptable Use Policy, and any Order Form or subscription confirmation, constitute the entire agreement between you and Maestrio with respect to the Service and supersede all prior agreements, understandings, and negotiations, whether written or oral, relating to the Service.
18.2 Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
18.3 No Waiver
Maestrio's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. A waiver of any breach will not constitute a waiver of any subsequent breach.
18.4 Assignment
You may not assign or transfer these Terms, or any rights or obligations hereunder, without Maestrio's prior written consent. Any attempted assignment in violation of this section is void. Maestrio may freely assign these Terms in connection with a merger, acquisition, sale of all or substantially all of its assets, or corporate reorganization.
18.5 Force Majeure
Neither party will be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including natural disasters, acts of government, war, terrorism, labor disputes, power failures, internet outages, or acts or omissions of third-party service providers (including AI model providers).
18.6 Publicity
Maestrio may identify you as a customer and display your company name and logo in Maestrio's marketing materials, website, and investor presentations. You may opt out of this use at any time by contacting [email protected]. Note: your company name and logo may appear in investor presentations unless you opt out.
